General Terms and Conditions (GTC) of Quadrian Pte. Ltd. – Sanoanimal

These Terms and Conditions (“Terms”) apply to purchases made via Sanoanimal’s online shop/platform (the “Platform”) for digital content and digital services (together, “Digital Products”), supplied to Customers worldwide.
1. Provider Information

No telephone advice regarding course contents/dates and no telephone or written advice on horse health or horse feeding.
2. Scope, Definitions
2.1 Exclusive application
These Terms apply exclusively. Conflicting terms of the Customer apply only if we expressly agree in writing.
2.2 Consumers and Business Customers
Consumer: acting mainly outside trade/business. Business Customer: acting within trade/business.
2.3 Digital-only scope (English/international)
These Terms govern Digital Products only (e.g., online course access, webinar access, recordings, downloads, streaming). No physical goods are supplied under these English/international Terms. Therefore, shipping, returns of goods, and return-cost rules do not apply.
2.4 Contract language, contract text and order storage
The contract language is English, unless we explicitly offer another language version for a specific purchase. We provide Customers with order confirmation details by email. Customers should download or save the order confirmation email and any product description available at the time of purchase.
2.5 Eligibility / minimum age
The Platform and Digital Products are intended for Customers who can legally enter into contracts. If a Customer is under the age of 18, the purchase must be made with the involvement and consent of a parent/legal guardian.
2.6 Subscription products
“Subscription Products” are Digital Products billed on a recurring basis (e.g., monthly or annually) until cancelled. Subscription details (billing cycle, price, term, renewal) are shown at checkout and/or on the product page.
3. Contracting Party
The contract is concluded with Quadrian Pte. Ltd. (see section 1).
4. Contract Formation
4.1 Orders via the Platform
Listings are invitations to place an order. By clicking the final order button (e.g., “Buy now”), the Customer submits a binding offer. The contract is formed when we accept the order by confirming it (including automated confirmation) and/or by granting access/sending the access link. Where the purchase requires an account (see section 8.2), the contract may also be performed by creating the Customer account and enabling access within that account.
4.2 Orders by email / telephone
Orders may also be placed by email/telephone. Subject to Consumer cancellation rights (section 5), the Customer is bound by such offer for 14 days; we may accept within this period.
4.3 Technical steps, correction of input errors
The ordering process on the Platform typically includes selecting the Digital Product, entering required details, reviewing the order summary, and confirming payment. Customers can usually correct input errors before final submission using the provided editing functions.
5. Consumer Right to Cancel (Cooling-Off)
This section applies only to Consumers.
5.1 Right to cancel (general rule)
Consumers may cancel within 14 days without giving any reason. For Digital Products, the cancellation period generally runs from the day the contract is concluded.
5.2 When the right to cancel is lost (digital content supplied during the 14 days)
Where a Digital Product is digital content not on a tangible medium, the Consumer loses the right to cancel once supply begins during the cancellation period, but only if:
- the Consumer has given express consent to supply beginning during the cancellation period, and
- the Consumer has acknowledged that the right to cancel will be lost once supply begins.
We will provide confirmation of this consent/acknowledgement on a durable medium (typically the order confirmation email).
5.3 Definition: “Supply begins” for Sanoanimal Digital Products
For the purposes of section 5.2, “supply begins” at the earliest of the following:
- Email-link delivery: when we send the email containing the access link or download/streaming link; or
- Scheduled access date: when access is enabled/unlocked for the Customer account on the scheduled date/time; or
- when the Customer otherwise gains access to the Digital Product (e.g., activation of a login-based course area).
5.4 Scheduled access date and cancellations
If access is scheduled for a later date:
- the Consumer can still cancel within the 14-day period unless they have opted into immediate supply under section 5.2 (e.g., early access, pre-access materials, or an earlier link).
- if supply does not begin within the 14 days, the Consumer’s cancellation right generally expires at the end of the 14 days anyway (unless local mandatory rules say otherwise).
5.5 How to cancel

5.6 Effects of cancellation (refund)
If cancellation is valid, we refund payments within 14 days of receiving the cancellation notice, using the same payment method unless otherwise stated. Model cancellation statement (optional): “I/We hereby cancel the contract for the supply of the following digital product(s): [name/order no.], ordered on [date], name/address, date.”
5.7 Live online events with a fixed date/time
Where a Digital Product consists of a live online event/service scheduled for a specific date or time period (for example, a live webinar with a fixed date/time), statutory cancellation rights may be excluded under applicable consumer law once the event has occurred or if the specific service has been fully performed. If such an exclusion applies to a specific offer, we will indicate this clearly during checkout and in the product description.
5.8 Services started during the cooling-off period (where applicable)
If a Digital Product (or part of it) qualifies as a service and the Consumer requests that we start providing that service during the 14-day cancellation period, then—if the Consumer cancels after the service has started—the Consumer may be required to pay for the portion already provided up to the time of cancellation, where and to the extent permitted by mandatory law.
6. Prices, Taxes (Worldwide)
6.1 General Pricing
Prices apply as shown at checkout at the time of purchase, in the displayed currency. No shipping charges apply.
6.2 Tax treatment and Customer Responsibility
Because supply is worldwide and digital-only, tax treatment may depend on the Customer’s billing country/region. Any VAT/sales tax/digital tax charged will be shown at checkout and on the receipt/invoice (where applicable).
The Customer is responsible for providing accurate location and billing data. If the Customer misrepresents their location (e.g., via VPN or false address) to avoid local taxes, the Customer shall indemnify Quadrian Pte. Ltd. for any resulting tax liabilities, interest, or penalties.
6.3 Obvious pricing errors
If a price is displayed due to an obvious technical or typographical error, we may cancel the order and refund any amounts paid. If the Customer has not yet paid, the order will not be processed at the incorrect price.
7. Payment
7.1 General Terms
Payment methods are displayed at checkout. Payment is due immediately unless otherwise stated. If invoicing is offered and agreed, invoices are payable within 14 working days of receipt. If a payment is reversed (e.g., returned direct debit), the Customer bears the bank fees plus a processing fee of EUR 5.00.
7.2 Chargebacks and access suspension
In the event of an unjustified chargeback or unauthorised payment reversal, we may temporarily suspend access to the Digital Product until the matter is resolved, without prejudice to statutory rights.
The Customer shall be liable for any administrative fees or fines charged to Sanoanimal by the payment processor or bank resulting from an unjustified chargeback.
7.3 Subscriptions: recurring billing and renewal
If the Customer purchases a Subscription Product, the subscription renews automatically at the end of each billing period (e.g., monthly/annually) unless cancelled before the renewal date. The billing cycle, renewal interval and price are shown at checkout and/or on the product page.
7.4 Subscriptions: cancellation by the Customer
Customers can cancel Subscription Products at any time with effect for the next renewal. Unless stated otherwise at checkout, cancellation means: (i) no further renewal payments will be taken after the current billing period ends, and (ii) access continues until the end of the current paid billing period. For subscriptions purchased online, we provide an online cancellation method within the Customer account (see section 8.2) and/or a clear cancellation route via office@sanoanimal.de.
7.5 Subscriptions: failed payments
If a subscription payment fails, we may retry the payment and/or suspend access until payment is completed. If payment remains outstanding, we may terminate the subscription after reasonable attempts to collect payment and notification to the Customer, to the extent permitted by applicable law.
7.6 Subscriptions: free trials / introductory offers (if offered)
If a subscription includes a free trial or introductory price, the duration and subsequent renewal price will be shown before checkout. Unless cancelled before the end of the trial/introductory period, the subscription will convert to the paid plan and renew automatically at the stated price.
7.7 Subscriptions: price changes
We may change subscription prices for future billing periods. If we do, we will provide notice in advance through the Platform and/or by email. The Customer may cancel the subscription before the new price applies. Mandatory consumer protections remain unaffected.
7.8 Subscription reminders / additional information (where required)
Where legal requirements apply (including evolving consumer protection rules for subscription contracts), we will provide required pre-contract information and reminders and will ensure cancellation remains straightforward.
8. Digital Delivery Worldwide
8.1 Delivery methods
Digital Products are delivered worldwide by:
- email link delivery, and/or
- account-based access enabled immediately or on a scheduled access date.
8.2 Account creation (applies to every purchase)
Every purchase creates a Customer account. Access to Digital Products is provided through this account, either immediately or on a scheduled access date. The account is created using the email address provided during checkout. Customers must ensure this email address is accurate and accessible. If the Customer already has an account, the purchase is linked to that account. If the Customer does not have an account, we create one and provide access instructions by email.
8.3 Technical requirements
The Customer is responsible for adequate internet access and compatible hardware/software and for maintaining access to the email address used at purchase.
While we strive for broad compatibility, we do not guarantee that Digital Products will be fully compatible with all legacy devices or specialized assistive technologies.
8.4 Updates
For ongoing Digital Services or Subscription Products, we will provide necessary security and functionality updates required by law. We are not obligated to provide “content updates” (e.g., new course modules or revised materials) unless explicitly stated as part of the purchased product or subscription plan.
8.5 Availability / maintenance
Access may be temporarily restricted for maintenance, security, or platform updates. Interruptions will be kept as limited as reasonably possible.
8.6 Scheduled access date – time zone
Where an access date/time is specified, it is displayed in the time zone stated on the Platform. If no time zone is specified, the default reference is Central European Time / Central European Summer Time (Berlin).
8.7 Access duration / expiry
Unless the product description states otherwise, access is provided for the duration described on the product page (for example: “X months access”, “membership period”, or “event access”). Where access is time-limited, access ends automatically at the end of the stated period. Any “lifetime access” statements apply only for as long as we continue to operate the relevant Platform/service and subject to reasonable platform changes, maintenance, and security requirements.
8.8 Temporary IT outages / delayed delivery (no cancellation right for temporary delays)
The Customer acknowledges that temporary outages or impairments may occur due to maintenance, security incidents, third-party infrastructure issues (e.g., hosting, email delivery, payment processors), or general IT disruptions affecting Sanoanimal’s systems. Such temporary issues may delay the delivery of access links, account activation, scheduled unlocking, streaming availability, or other delivery steps.
Temporary delays caused by such outages do not give the Customer (Consumer or Business Customer) the right to cancel the purchase or demand a refund solely due to the delay, provided that delivery remains possible and we restore access/delivery within a reasonable time. If the technical delivery of the Digital Product becomes permanently impossible, both parties may terminate the affected contract; in such case we will refund payments received for the affected Digital Product, unless mandatory law provides otherwise.
8.9 Worldwide use – local law, sanctions, and restrictions
Customers may access Digital Products worldwide. Customers are responsible for ensuring that accessing/using the Digital Product is lawful in their location. We do not supply Digital Products where doing so would violate applicable laws, regulations, sanctions, or export restrictions. We may block access where required for legal compliance.
9. Licence, Intellectual Property, Acceptable Use
9.1 Intellectual property
All content, materials, recordings, texts, graphics, audio/video, downloads, and course structures are protected by intellectual property laws. We (or our licensors) own all rights unless expressly stated otherwise.
9.2 Licence grant (personal/internal use)
Upon full payment, the Customer receives a non-exclusive, non-transferable, revocable licence to access and use the Digital Product for personal use (Consumers) or internal business use (Business Customers), strictly within the scope described on the product page.
9.3 Prohibited use
Unless expressly permitted in writing, Customers must not:
- share access links, login credentials, or course materials with third parties,
- reproduce, distribute, resell, sublicense, publish, upload, or make content publicly available,
- record, screen-capture, or retransmit live events or protected video/audio content,
- remove copyright notices/watermarks, bypass technical protection measures, or scrape the Platform.
9.4 User-Generated Content
If the Platform allows for comments, forum posts, or other “User-Generated Content,” the Customer grants Sanoanimal a non-exclusive, worldwide, perpetual license to use, reproduce, and display such content for product improvement or marketing purposes. The Customer must adhere to the Community Code of Conduct.
9.5 Account security
Customers must keep login credentials confidential and notify us immediately of suspected unauthorised access. Customers are responsible for activity under their account unless mandatory law provides otherwise.
9.6 Enforcement, suspension, termination
If we reasonably believe there is misuse (e.g., credential sharing, piracy, fraud, or chargeback abuse), we may suspend access, terminate access for serious/repeated breaches, and/or pursue civil remedies. Where access is terminated due to Customer breach, refunds are excluded to the extent permitted by mandatory law.
10. Subcontractors
We may use subcontractors for performance of the contract.
11. Defects / Non-conformity / Consumer digital rights
Nothing in these Terms limits mandatory statutory rights. For UK Consumers, digital content must be of satisfactory quality, fit for purpose and as described, with statutory remedies if it is faulty. For Business Customers, we may choose to remedy defects by correction or replacement access, and Business Customers must notify defects promptly.
11.1 Defect reporting / support contact
Customers should report technical issues or defects to office@sanoanimal.de with the order number and a brief description of the issue (including screenshots where helpful). To facilitate a remedy, the Customer must provide relevant evidence of the defect (e.g., screenshots or screen recordings) upon request.
12. Data Protection
We process personal data as necessary to provide the Platform and perform the contract (including access management, billing, and support). Details are provided in our Privacy Policy (available on the Platform). Where we use service providers (e.g., payment processors, hosting, email delivery), we do so in accordance with applicable data protection law.
13. Liability
Nothing excludes liability for death/personal injury due to negligence, fraud, or anything that cannot legally be excluded. Otherwise, liability for simple negligence is limited to foreseeable damage in case of breach of essential obligations; mandatory rules remain unaffected.
13.1 Force majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control (e.g., major outages, acts of authorities, natural disasters, war, strikes, or telecommunications failures). This does not affect mandatory statutory rights.
14. No veterinary/medical advice; Assumption of Risk
Digital Products are informational and educational only and represent the opinion of the instructors. They do not replace professional veterinary diagnosis, treatment, or individualized feeding advice. The Customer acknowledges that every animal is a unique biological system; therefore, the application of any information provided is at the Customer’s sole risk. Sanoanimal/Quadrian Pte. Ltd. and its representatives shall not be liable for any health complications, injuries, or damages to animals or persons resulting from the use, misuse, or misinterpretation of the information provided in the Digital Products.
15. Complaints Handling and Alternative Dispute Resolution (ADR)
Customers may submit complaints to office@sanoanimal.de. We aim to respond within a reasonable timeframe. We are not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration board. We may decide on participation on a voluntary, case-by-case basis, unless a legal obligation applies.
16. Governing Law and Jurisdiction (Germany)
16.1 Governing law
German law applies. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
16.2 Jurisdiction (Consumers and Businesses)
The place of jurisdiction for disputes is Berlin, Germany, for Consumers and Business Customers. Mandatory consumer protections remain unaffected: where mandatory consumer laws grant non-waivable rights (including potentially rules on where claims may be brought), those rights continue to apply despite this clause.
16.3 Assignment
Customers may not transfer or assign their rights or obligations under this contract without our prior written consent. We may transfer/assign the contract to an affiliated company or a successor in the event of restructuring, merger, or asset transfer, provided this does not reduce mandatory consumer protections.
16.4 Severability
If any provision is invalid or unenforceable, the remaining provisions remain effective. The invalid provision shall be replaced by a valid provision that comes closest to the intended economic purpose.
